Welcome to GIMZWARE.ai. These Terms of Service ("Terms") govern your use of our website, software products, and services. By purchasing, downloading, installing, or using any GIMZWARE.ai product, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our products or services.

Which products these Terms cover. These Terms govern this website and the GIMZWARE audio software, which is sold as a one-time purchase. SMELT Studio, our hosted AI platform, is billed as a monthly subscription and is governed by its own Terms of Service and Privacy Policy. Where those Terms and these ones differ, those govern your use of SMELT Studio.

Your statutory rights are not affected. Nothing in these Terms is intended to limit or exclude any rights you have under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other applicable consumer protection legislation.

1. Licence Grant

Personal Licence

Upon purchase, GIMZWARE.ai grants you a non-exclusive, non-transferable licence to install and use the purchased software on up to two (2) computers that you own or control (e.g., a studio desktop and a laptop for live performance).

Permitted Use

Use for personal, commercial, and professional music production
Use in commercial recordings, releases, and broadcasts
Use in live performances and streaming
Create derivative works (music produced using our software)

Restrictions

You may not sublicense, rent, lease, or lend the software
You may not reverse engineer, decompile, or disassemble the software
You may not modify, adapt, or create derivative works of the software itself
You may not remove or alter any proprietary notices or labels
You may not share your licence key or activation with others

2. Pricing and Payment

The GIMZWARE audio plugins are sold as one-time purchases. Individual plugins are sold separately at product-specific prices reflective of their features, tools, maintenance, and complexity. Bundles may also be available at a reduced combined price. Current pricing is displayed on the relevant product pages. The plugins carry no recurring subscription fees. SMELT Studio is sold separately on a monthly subscription, priced and billed as set out at smelt.gimzware.ai.

Payment Processing

Audio plugin payments are processed securely through FastSpring (Bright Market, LLC), who acts as the Merchant of Record for those transactions. We do not collect or store your payment card information. Plugin prices are in USD unless otherwise indicated. Applicable taxes will be calculated and collected at checkout by FastSpring based on your location. SMELT Studio subscriptions are billed in GBP by Stripe, under the SMELT Studio Terms.

3. Refund Policy

We offer a 14-day money-back guarantee on all purchases. If you are not satisfied with your purchase for any reason, you may request a full refund within 14 calendar days of the original purchase date.

Refunds are processed within 3-5 business days
The refund is issued to the original payment method

After a Refund

Upon refund, your licence key will be deactivated, and you must uninstall the software from all devices. For our full refund policy, please see our Refund Policy page.

4. Software Updates

Your purchase includes lifetime updates for the major version you purchased (e.g., all 1.x versions if you purchased version 1.0).

Minor Updates (1.x): Free, includes bug fixes, performance improvements, and minor features
Major Updates (2.0+): May require a paid upgrade, existing customers receive a discount

We are committed to maintaining and improving our products. The frequency and scope of minor updates may vary over time based on the product lifecycle.

5. Licence Activation

Our software uses machine-bound licensing to prevent unauthorized use:

Licences are activated online and bound to your hardware
You may activate on up to 2 machines simultaneously
Internet connection is required for initial activation only
After activation, the software works fully offline with no periodic check-ins required
If you need to transfer your licence to a new machine, contact support

6. Intellectual Property

All intellectual property rights in the software, including but not limited to copyrights, trademarks, patents, trade secrets, and any other proprietary rights, remain the exclusive property of GIMZWARE.ai.

Your Content: You retain all rights to any audio, music, or other content you create using our software. We claim no ownership over your creative output.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

We do not warrant that the software will be error-free, uninterrupted, or compatible with all hardware and software configurations. We recommend checking system requirements before purchase. This disclaimer does not affect your statutory rights under the Consumer Rights Act 2015, which provides that digital content must be of satisfactory quality, fit for a particular purpose, and as described.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GIMZWARE.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from or relating to these Terms or the software shall not exceed the amount you paid for the software.

9. Termination

We may terminate or suspend your licence immediately, without prior notice, if you breach these Terms. Upon termination:

Your licence rights terminate immediately
You must cease all use of the software
You must delete all copies of the software from your devices

Termination does not affect any rights or obligations that accrued prior to termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in the European Union, you also have the right to bring proceedings in the courts of your country of residence.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our products after changes are posted constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
